Device Rental & Purchase Agreement

This Device Rental & Purchase Agreement (this “Agreement”) is a contract between QUEUEMS LLC doing business as NextUpService (“NextUpService,” “we,” “us,” or “our”) and the business customer that rents or purchases hardware from us (the “Customer,” “you,” or “your”). By selecting a device to rent or buy, completing checkout, or using any device we provide, you agree to the terms below. This Agreement is in addition to, and incorporates by reference, our Terms and Conditions and Privacy Policy. If anything in this Agreement conflicts with the Terms and Conditions on the subject of hardware, this Agreement controls.


1. Scope

This Agreement applies to any tablet, display, stand, card reader, or other hardware (each a “Device”) that you rent or purchase from NextUpService. Each Device is provided to support your use of the NextUpService software and queue-management services. Rented Devices remain the property of NextUpService at all times. Purchased Devices become your property once payment for that Device clears.

2. Device Condition & Acceptance

We provide each Device in good working condition, tested before shipment. Devices may be new or professionally refurbished. When your Device arrives, you should inspect it promptly. If a Device arrives damaged, defective, or not working, you must notify us at support@nextupservice.com within five (5) business days of delivery and, where possible, include photos of the Device and its packaging. If you do not report a problem within that window, the Device is considered accepted in good condition. Reporting a delivery defect within the window is free of charge to you, and we will repair or replace the affected Device.

3. Responsibility for Loss, Theft & Damage

You are responsible for each rented Device from the moment it is delivered to you until it is returned to us and confirmed received in satisfactory condition. You agree to keep the Device secure, use it only for its intended purpose, and follow any reasonable care instructions we provide.

“Satisfactory condition” means the Device powers on, functions normally, and shows only normal wear consistent with ordinary business use — such as light surface marks. The following are not normal wear and you are responsible for them: cracked or broken screens or glass, liquid damage, deep dents or bending, missing parts or accessories, damage from drops or misuse, tampering, unauthorized repairs, and loss or theft.

If a rented Device is lost, stolen, or damaged beyond normal wear while in your care, you agree to pay the applicable repair or replacement fee described in Section 5. You should report any loss or theft to us promptly, and to local authorities where appropriate.

4. Return Requirements

If your subscription ends or you cancel hardware rental for any reason, you must return each rented Device to us within fourteen (14) calendar days of the cancellation or end date. To return a Device:

  • Email support@nextupservice.com to start your return and receive shipping instructions.
  • Include all parts and accessories that came with the Device (charger, cable, stand, and packaging where possible).
  • Pack the Device securely to prevent damage in transit. You are responsible for the Device until we confirm we have received it.

You are responsible for return shipping costs unless we tell you otherwise in writing. If a Device is not returned within the return window, we may treat it as unreturned and bill you the replacement fee for that Device under Section 5. If you later return a Device that was already billed as unreturned, contact us and we will work with you in good faith on a fair adjustment.

5. Repair & Replacement Fees

If a rented Device is returned damaged beyond normal wear, lost, stolen, or not returned within the return window, you agree to pay a repair or replacement fee. The fee reflects the actual cost to repair the Device, or to replace it with the same or an equivalent model, plus any missing accessories. We will tell you the amount before charging it whenever reasonably possible, and we will not charge more than the cost of an equivalent new or refurbished Device.

You authorize us to charge any repair or replacement fee, and any unpaid rental charges, to the payment method you have on file with us. If we cannot collect using your payment method, the amount remains due and payable, and you agree to pay any reasonable costs we incur in collecting it as permitted by law.

6. Recurring Rental Charges

Hardware rental is billed monthly as a recurring add-on to your NextUpService subscription, at the rate shown at checkout. Rental charges renew automatically each billing cycle until you cancel rental or your subscription ends. Charges already billed for a given month are not prorated or refunded when you cancel mid-cycle, but you will not be billed for rental cycles that begin after your cancellation takes effect. Returning a Device does not by itself stop billing — you must cancel hardware rental (or your subscription), and recurring rental charges stop at the end of the then-current billing cycle. We may change rental pricing on reasonable advance notice; continued rental after the change takes effect means you accept the new price.

7. One-Time Purchase

If you buy a Device outright, you pay a one-time price shown at checkout and the Device becomes yours once payment clears. Purchased Devices are sold as-is except that, for thirty (30) days from delivery, we will repair or replace a Device that fails due to a manufacturing or hardware defect not caused by misuse, accident, or unauthorized repair. This limited warranty is your sole remedy for a defective purchased Device and does not cover normal wear, accidental damage, liquid damage, or loss or theft.

The NextUpService software and queue-management service are provided under a separate subscription. An active subscription is required to use the software features of any Device, whether rented or purchased. Buying a Device does not include or guarantee any ongoing software subscription.

8. Software & Configuration

Devices may be pre-configured for the NextUpService kiosk or display experience. You agree not to jailbreak, root, resell, sublease, or load unauthorized software onto a rented Device, and not to remove or disable any configuration, security, or device-management settings we install on a rented Device. We are not responsible for problems caused by misuse, unsupported modifications, loss of internet or power, or incorrect local setup.

9. Limitation of Liability

To the maximum extent permitted by law, NextUpService is not liable for any indirect, incidental, special, or consequential damages, or for lost profits or lost business, arising out of or relating to any Device. Our total liability relating to a Device will not exceed the amount you paid us for that Device (for a purchase) or the rental fees you paid us for that Device in the twelve (12) months before the claim (for a rental). Nothing in this Agreement limits liability that cannot be limited under applicable law.

10. Governing Law & Disputes

This Agreement is governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to this Agreement or any Device will be subject to the exclusive personal jurisdiction and venue of the state and federal courts located in Columbus, Ohio, and you waive any right to a trial by jury. These dispute-resolution and governing-law terms are intended to be consistent with our Terms and Conditions, which also apply.

11. Changes to This Agreement

We may update this Agreement from time to time. The “Last updated” date above shows when it last changed. Material changes apply to new rentals and purchases going forward, and your continued rental or use of a Device after a change takes effect means you accept the updated terms.
